Spectris confirms share count as KKR takeover nears completion

Spectris on Thursday issued a routine statement confirming its share capital, a procedural step as the British technology firm's 4.15 billion British Pound takeover by private equity firm KKR moves toward completion.

The provider of precision-measurement instruments said in a regulatory filing that it has 99,409,587 total voting rights.

KKR agreed to acquire Spectris in August for 41.75 British Pounds per share, winning a bidding war against rival firm Advent International.

The transaction has since cleared major regulatory hurdles, receiving approvals from authorities in the European Union, the United States, China, and the United Kingdom, among others.

According to the company, the deal is progressing as expected and is anticipated to become effective in or before the first quarter of 2026.

Spectris confirmed it had 104,446,214 ordinary shares in issue, with 5,036,627 of those shares held in treasury, which do not carry voting rights.
