KKR's Spectris takeover clears key regulatory hurdles

Kohlberg Kravis Roberts & Co.'s planned 4.15 billion British Pounds takeover of industrial technology firm Spectris has cleared key regulatory hurdles in the U.K., Ireland and Sweden, moving the deal closer to completion.

In a regulatory filing, Spectris announced it had received confirmation from the U.K. government that no further action will be taken regarding the acquisition under the National Security and Investment Act.

The company also said it had received foreign direct investment clearance from authorities in Ireland and Sweden.

These approvals follow an overwhelming vote in favor of the deal by Spectris shareholders on Aug. 27, which concluded a bidding war with rival private equity firm Advent International.

The acquisition still requires merger control and foreign investment approvals in other jurisdictions including the U.S., the European Union and China, according to previous filings.

Spectris said the remaining filing processes are progressing in line with expectations.

The company reiterated that it expects the transaction to become effective in or by the first quarter of 2026.

In a separate routine filing Thursday, Spectris confirmed it had approximately 99.4 million total voting rights.
